Welcome to PJGARMENT (“we,” “us,” or “our”). By accessing our website ( https://pjgarment.com) and utilizing our OEM/ODM apparel manufacturing services, you (“Client,” “Brand,” or “Buyer”) agree to be bound by the following Terms and Conditions.
1. OEM/ODM Services & Intellectual Property
1.1 Client IP: We respect your intellectual property. All tech packs, designs, logos, and patterns provided by the Client remain the sole property of the Client. We agree not to use, sell, or distribute your custom designs to any third party. Non-Disclosure Agreements (NDAs) can be signed upon request before sharing tech packs.
1.2 Production Rights: We are acting solely as a contract manufacturer. The Client assumes all legal responsibility for ensuring that the designs submitted do not infringe upon any existing trademarks or copyrights.
2. Orders, Pricing, and Payment Terms
2.1 Quotations: All quotes provided are valid for 30 days unless otherwise stated. Prices may fluctuate based on raw material costs and exchange rates.
2.2 Payment Terms: Unless a separate contract is signed, our standard payment term is a 80% non-refundable deposit to begin bulk production, with the remaining 20% balance due before shipment. We accept T/T, PayPal, Wire Transfer.
3. Sampling, Production, and Tolerances
3.1 Sampling: Prototype samples must be approved by the Client in writing before bulk production begins. Sample fees are refundable upon placing a bulk order exceeding 300 pcs.
3.2 Manufacturing Tolerances: Due to the nature of garment manufacturing, a standard industry tolerance of +/- 0.5 to 1 inch in measurements is acceptable. A minor defect rate of up to 3% is considered standard within the textile industry.
4. Shipping and Delivery
4.1 We offer various shipping terms (e.g., EXW, FOB, DDP) as agreed upon in the invoice.
4.2 Lead times are estimates based on current factory capacity and material availability. We are not liable for delays caused by force majeure, including but not limited to customs clearance delays, natural disasters, or global shipping disruptions.
5. Limitation of Liability
In no event shall PJGARMENT be liable for any indirect, incidental, or consequential damages arising out of the manufacturing or delivery of the products. Our maximum liability shall not exceed 20% of the total amount paid by the Client for the specific order in dispute.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Guangdong, China.
